Rette Beta Tester Agreement

This Beta Test Pre-Release Agreement ("Agreement") is entered into between Ox and Rooster, LLC ("Company") and the individual participating in the beta testing ("Tester").


Effective Date: June 30, 2025
 

  1. 1. Purpose of Beta Testing
    The Company is developing a new fitness planning application ("App") and seeks feedback from Testers to identify bugs, usability issues, and gather general feedback to improve the App before its official release.
  2. 2. Beta Test Period
    The beta test period will commence on 08/04/2025 and end when notified by the Rette team.
  3. 3. Tester Obligations
    • Testers agree to use the App solely for testing purposes and provide honest and constructive feedback to the Company.
    • Testers will promptly report any bugs, glitches, or issues encountered while using the App.
    • Testers agree not to share, distribute, or disclose any confidential information related to the App with third parties.
    • Testers acknowledge that the pre-release version of the App may contain errors and defects and agree to use it at their own risk.
  4. 4. Company Obligations
    • The Company will provide Testers with access to the pre-release version of the App during the beta test period.
    • The Company will consider all feedback provided by Testers and make reasonable efforts to address any reported issues or concerns.
    • The Company will maintain the confidentiality of Tester feedback and data collected during the beta test period.
  5. 5. Intellectual Property
    • Testers acknowledge that all intellectual property rights related to the App, including but not limited to copyrights, trademarks, and patents, are owned by the Company.
    • Testers agree not to reproduce, modify, or create derivative works based on the App or any materials provided by the Company during the beta test period.
  6. 6. Termination
    Either party may terminate this Agreement at any time upon written notice to the other party. Upon termination, Testers agree to cease using the pre-release version of the App and return or destroy any materials provided by the Company.
  7. 7. Confidentiality
    • Testers agree to keep all information related to the App and the beta testing process confidential and not to disclose it to any third parties without the Company's prior written consent.
    • NO recording, discussing Rette in public, posting to social media, screen grabs, sharing of email contents, mention of Rette.
  8. 8. Indemnification
    Testers agree to indemnify and hold harmless the Company from any claims, damages, or liabilities arising out of their participation in the beta testing program.
  9. 9. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of Arizona.
  10. 10. Entire Agreement
    This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
